Commissions

terms of service To be an authorized affiliate of www.menulog.com.au, you agree to abide by the terms and conditions contained in this agreement. Menulog.com.au Web Affiliate Agreement This agreement establishes the terms of the relationship between Menulog Pty Ltd (\The Company\), and the Affiliate Partner (\Partner\) and allows the Partner to offer for sale the Company\s products and services through its own website, customer sales or other end user relationships. Menulog Pty Ltd (\The Company\) and the Affiliate (\The Partner\) agree that: 1.0 Background 1.1 The Company operates a restaurant information and booking system as well as an online ordering and takeaway/delivery service on behalf of restaurants. 1.2 The Partner has agreed to promote restaurants and takeaway/delivery businesses to their customers on the terms set out in this agreement. 2.0 Rights and Obligations 2.1 Under the terms of this agreement, the Partner will market the Company\s products and services in return for commissions earned. 2.2 The Partner understands and agrees that this agreement to sell the Company\s products and services is non-exclusive. The Company may appoint one or more additional Partners having marketing responsibility in the same geographic area. However, the Partner holds an exclusive agreement with the Company and may not enter into any agreement with a competitor of the Company. 2.3 The Company has the right to modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by notifying the Partner in writing with 14 days notice. Modifications may include but are not limited to program rules, payment procedures and affiliate commissions. If any modification is unacceptable to the Partner, the only recourse is to terminate the agreement. The Partner’s continued participation in the program following a modification notice will constitute binding acceptance of the change. 2.4 The Partner agrees not to undertake any advertising and/or marketing activities, which can be misrepresented or misconstrued as having originated from the Company. This includes, (but is not limited to): illegally using the Company brand name, or any of its logos, search engine advertising utilising the Company name and passing off. The Partner is prohibited from bidding on keywords in search engines that directly relate in any way to the Company trademarks. Should any activity listed above be undertaken by any Partner, the Company reserves the right to suspend commission payment to the Partner immediately, and may suspend the Partner\s affiliate account. 2.5 The Partner is committed to promote both the restaurant booking service and online ordering facilities as offered by the Company. These two services are to be promoted as independent products with a minimum of one link directing users to each service. 3.0 Responsibilities 3.1 Data provided by the Company must be branded on the Partners website as having originated by the Company. This branding must be placed in a noticeable position as agreed by both parties and must be a static direct link to the Company’s website. The link may include the affiliate id to allow the Partner to earn commission on sales made by users following this link. 3.2 All issues relating to the booking and online ordering processes are the responsibility of the Company and the Partner shall not enter into any correspondence with the client in any way, unless approached first. All queries relating to the Partner or any of its associations shall be forwarded on to the Partner immediately, as agreed by both parties. 3.3 The Company will offer customer service support to the Partner as required. This will occur between the hours of 8:30am - 5pm, Monday to Friday (Australian Eastern Standard Time). The Company will endeavour to solve any problem pertaining to any technical issue relating to this Agreement within 48 hours. 4.0 Remuneration 4.1 The Company will pay the Partner a commission of 25% of the revenue generated from restaurant bookings resulting from this new cooperative venture. 4.2 Commission will be paid on confirmed restaurant bookings only, whereby the guest has honoured the booking by dining at the Participating Restaurant. A Participating Restaurant is defined as a restaurant that has signed with the Company and pays an agreed fee for bookings. 4.3 The Company will pay the Partner a commission of 5% of the total bill of all takeaway and delivery orders placed as a result of this new cooperative venture. 4.4 Commission will be paid only on orders that are confirmed as being received and paid for by the customer. 4.5 All commission payments will be issued once a month in Australian Dollars (AUD). The Company will provide payment via one of the means specified by the Partner in the affiliate application form. Minimum threshold for payment is $100. 4.6 Commissions will be billed 30 days after the end of the month the booking occurred. Example: When you send us a booking with a dining date of September 12, your final commission for this booking will be payable from October 30. Commission is then payable within ten (10) Business Days from the 1st of every month, as long as the commission level is above the minimum payment threshold - as per Clause 4.5. Invoices - The Company shall generate a monthly recipient-issued tax invoice on behalf of Partner that will show Partner\s monthly net commission earnings (and, where applicable, the relevant value added tax or services tax component) payable to Partner. Partner shall be responsible for any tax component set forth on such invoice. Each party acknowledges that if they are registered for GST when entering the Agreement they will notify the other party if they cease to be registered for GST (Australian partners only). If the Partner does not pay the amount of such invoice by the due date required by Company, then in addition Partner must pay Company interest on the amount outstanding from the due date until paid at the same rate from time to time as is payable by a taxpayer to the Commissioner of Taxation on overdue GST in Australia. 4.5 The Company will keep an audit of all transactions subject to this Agreement. The Company will provide the Partner with an account summary, which will track the number of bookings and orders submitted by users referred by the Partner. The Partner will also have access to payment reports, which will display the estimated amount earned and payment history. 5.0 Confidentiality 5.1 Any use by the Partner of any other user\s information, personal or otherwise, for any commercial purpose or to obtain direct financial gain (e.g. mass marketing) is prohibited. Any such use shall be deemed to be a violation of this Agreement. The Company’s website is to be used for the Partner\s customers\ personal use only. The Partner agrees that it will not use Company information obtained from the Company’s website for chain letters, junk mail, \spamming\, solicitations (commercial or non-commercial) or bulk communications of any kind including but not limited to distribution lists to any person who has not given specific permission to be included in such a list. Notwithstanding the foregoing the Partner may market products and services to its customers, who have made restaurant reservations, via e-mail, provided however, the email must clearly show that it has not originated from the Company and the customer must have the ability to unsubscribe to such solicitations and cease to be a recipient of such e-mails. If Partner is in violation of this, the Company reserves the right to immediately terminate this Agreement without notice. 5.2 Neither party shall create, publish, distribute, or permit any written materials, which makes reference to the other party without first submitting to the other party such material and receiving prior written consent from the non-submitting party. This shall not to be unreasonably withheld or delayed. Neither party will make announcements or statements to the public nor any third party concerning the relationship between the parties or the transaction described in this agreement without the prior written consent from the other party. This shall not be unreasonably withheld or delayed. 6.0 Duration and Termination 6.1 The Agreement becomes effective from the day the Partner signs up to the affiliate program and is valid for a period of 12 months. At the end of the term the agreement will continue unless it is terminated by giving either party 30 days written notice. 6.2 Upon termination, any monies owing to the affiliate, which are below the minimum threshold paid, will be forfeited by the Partner. 7.0 Relationship of Parties The Partner and Company are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. The Partner will have no authority to make or accept any offers or representations on the Companies behalf. The Partner will not make any statement that reasonably would contradict anything in this Section. 8.0 Limitation of Liability Although the Company intends that the supplied data will be correct and available to the Partner at all times, the Company will not be held accountable for any errors or unavailability of data. The Company will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if the Company has been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to the Partner under this Agreement. 9.0 Disclaimers We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, the Company makes no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. 10.0 Arbitration Any dispute relating in any way to this Agreement (including any actual or alleged breach hereof), any transactions or activities under this Agreement or your relationship with us or any of our affiliates shall be submitted to confidential arbitration in Sydney, NSW except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the state/province of NSW (and you consent to non-exclusive jurisdiction and venue in such courts) or any other court of competent jurisdiction. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator\s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise. 11.0 Miscellaneous This Agreement will be governed by the laws of Australia and the state/province of NSW, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
